Terms and Conditions
Version 2026-09-24. These Terms and Conditions ("Terms") are an agreement between Copley Digitals LLC ("Copley Digitals," "we," "us," or "our") and the person or business that uses our website or engages our services ("Client," "you," or "your"). By using copleydigitals.com, signing a proposal or credit card authorization, or paying an invoice, you agree to these Terms. If you do not agree, please do not use our website or services.
1. Services we provide
Copley Digitals provides search engine optimization ("SEO") consulting and related digital marketing services, including:
- SEO audits and strategy
- Technical SEO, including site speed, crawlability, indexation, structured data, and migration support
- On-page SEO and content strategy, including keyword research, content briefs, and optional article writing
- Local SEO, including Google Business Profile management, citations, and local landing pages
- Link building through outreach, digital PR, and partnerships
- Analytics setup, rank tracking, and monthly reporting
- Custom projects agreed in writing
The exact services for each engagement are described on our website, in a written proposal or scope of work, or on your invoice ("Scope"). If a signed proposal conflicts with these Terms, the signed proposal controls for that engagement.
2. Proposals, scope, and custom work
- Agreement on scope. Work begins only after the Scope and price are agreed and the required payment has been received, unless we agree otherwise in writing.
- Custom work. Work outside our published plans, such as site migrations, one-off projects, additional content, or multi-location programs, is quoted individually and billed on a custom invoice.
- Changes to scope. Requests beyond the agreed Scope are treated as change requests. We will quote any additional cost before doing the work, and a changed amount requires a new invoice and a new credit card authorization.
3. Your responsibilities
- Accurate information. Provide accurate and complete information about your business, website, goals, and billing details.
- Access. Grant timely access to your website, content management system, Google Search Console, Google Analytics, Google Business Profile, and other accounts we need. Delays in access can delay results and do not pause billing for retainers.
- Feedback and approvals. Review drafts, briefs, and recommendations and respond within a reasonable time, normally five business days.
- Implementation. Where your team or developer is responsible for implementing recommendations, results depend on that work being completed.
- Lawful content. You are responsible for making sure the materials, claims, and content you provide are accurate, lawful, and do not infringe anyone else's rights.
- Backups. Keep current backups of your website before we make changes. We take reasonable care, but you are responsible for your site's backups and hosting.
4. Pricing
Our published prices are:
- SEO Audit: $750, one time
- Local SEO: $950 per month
- Growth retainer: $1,800 per month
- Complete SEO: $2,500 per month
Published plans can be purchased directly on our website. For monthly plans, the online payment covers the first month, and each later month is invoiced and authorized separately. Custom work is priced by quote. Prices are in U.S. dollars and exclude any applicable taxes, which will be shown on the invoice where required. We may change published prices at any time; for active monthly retainers, we will give at least 30 days' written notice before a price change takes effect.
5. Invoices and payment
- Billing. One-time services are billed before work begins. Monthly retainers are billed in advance at the start of each monthly period. Custom work is billed as stated in the quote.
- Due date. Invoices are due on receipt unless the invoice states a different due date.
- Payment method. We accept Visa, Mastercard, American Express, and Discover credit and debit cards through our secure online payment page.
- Late payment. If an invoice is not paid when due, we may pause work until the account is brought current. Paused time does not extend the Scope for that billing period.
- Payment status. Signing an authorization, submitting a payment, and receiving cleared funds are separate events. An invoice is treated as paid only when our payment processor confirms a successful charge.
6. Credit card authorization
- Required before payment. Before any card payment is processed, the cardholder (or a person authorized by the cardholder) must complete and electronically sign our Credit Card Authorization Form for that specific invoice. The payment page cannot be used without a valid signed authorization.
- What the form covers. Each authorization is tied to one invoice, one service description, and one exact amount and currency, and authorizes a single, one-time charge.
- Changes require a new authorization. If the amount, service, invoice, or these Terms change before payment, the earlier authorization no longer applies and a new one must be signed. Additional charges always require a new authorization unless a separate signed agreement expressly covers them.
- Expiry. An authorization that has not been used to make a payment expires after 30 days.
- Card details on the form. The completed authorization form shows the card type, the last four digits, and the expiration date. It never contains your full card number or card security code (CVV/CVC). Card numbers are entered only on the payment page and are processed by our third-party payment processor.
- Copies. The completed authorization form is issued only after your payment is approved, and the same PDF is emailed to you and to us together with your receipt. If a payment is declined or fails, no form is issued.
7. Electronic signatures and record integrity
- You agree that electronic signatures, electronic records, and email delivery may be used for proposals, authorizations, invoices, and notices, in accordance with the federal Electronic Signatures in Global and National Commerce Act (ESIGN) and the Uniform Electronic Transactions Act as adopted in Oregon.
- When an authorization is signed, we record the signer's name, drawn signature, email address, and date and time (UTC), together with the exact terms presented. For security and fraud prevention, our systems also keep a private technical log of website activity; this log is not part of the authorization form.
- Each finalized authorization PDF receives a unique reference number, and a SHA-256 fingerprint of the exact file is recorded on our server. Either party can confirm that a copy is the original and unchanged at copleydigitals.com/verify. Any alteration to the file will cause verification to fail.
- We keep authorization records, invoices, payment records, communications, and proof of delivery as transaction records for at least seven years, or longer where required by law.
8. Payment questions and disputes
- Contact us first. If you have a concern about a charge, please contact us at info@copleydigitals.com or (636) 584-4483. We will respond within five business days and work with you in good faith to resolve it, including issuing a refund or credit where one is due under these Terms.
- Your rights are not limited. Nothing in these Terms limits any right you have under applicable law or your card issuer's rules, including the right to dispute a charge with your card issuer.
- Our records. If a charge is disputed with a card issuer, you agree that we may provide the issuer and our payment processor with the signed authorization, invoice, Scope, communications, and proof of delivery as evidence of the transaction.
- Work during a dispute. We may pause active work while a payment dispute is open. Amounts for services already delivered remain owed if a dispute is resolved in our favor.
9. Term, renewal, and cancellation
- Monthly plans. Local SEO, Growth, and Complete SEO plans run month to month. Either party may cancel with 30 days' written notice by email. Work in the final paid period is completed and reported as usual.
- One-time services. An SEO Audit or other one-time project may be cancelled before work begins for a full refund.
- Each monthly charge is authorized separately. Each monthly invoice is paid with its own signed authorization. We do not automatically charge your card.
10. Refunds
- Because our services are professional, time-based services, fees for work that has started or been delivered are non-refundable, except as stated here or required by law.
- If you cancel a one-time service before work begins, or we are unable to start agreed work, we will refund the amount paid for the work not started.
- If you are charged in error, including a duplicate charge or an amount different from your signed authorization, we will refund the difference promptly after confirming it.
- Audit fees are credited toward your first month if you begin a Growth retainer within 30 days of your audit walkthrough.
- Approved refunds are returned to the original card and may take 5 to 10 business days to appear, depending on your card issuer.
11. No guarantee of rankings or results
Search rankings, traffic, leads, and revenue depend on factors outside our control, including search engine algorithms, competitor activity, your website, your market, and how recommendations are implemented. We do not guarantee any specific ranking, position, traffic level, number of leads, or revenue. We do commit to performing the agreed Scope with professional care and to reporting honestly on progress.
12. Search engine guidelines
We follow Google's published search guidelines and do not buy links, use link networks, or use other tactics that put your site at risk. We will decline requests to use such tactics.
13. Third-party platforms and tools
Our work relies on platforms we do not control, such as Google Search, Google Business Profile, Google Analytics, your hosting provider, and your content management system. We are not responsible for changes, outages, suspensions, or policy decisions made by these third parties, including suspension of a Business Profile. Third-party tool or advertising costs are not included in our fees unless the Scope says so.
14. Account access and ownership
- Your website, domain, analytics, Search Console, Business Profile, and other accounts remain your property and stay in your name.
- We use user-level access that you grant and may revoke at any time. At the end of an engagement we will remove our access or you may remove it.
- We will not change account ownership or passwords without your written permission.
15. Confidentiality
We keep confidential all non-public information you provide, including business data, analytics, and account access. We do not disclose it to third parties without your written consent, except to contractors bound by confidentiality who help deliver your services, when required by law, or to our payment processor and card networks to verify a transaction or respond to a payment dispute. You agree to keep our proposals, pricing proposals, and methods confidential.
16. Intellectual property
- Your materials. You keep ownership of all materials you provide.
- Deliverables. Once the related invoice is paid in full, you own the reports, briefs, written content, and other deliverables created specifically for you.
- Our tools and methods. We keep ownership of our pre-existing templates, processes, software, and know-how, and may reuse general knowledge gained in our work.
- Portfolio use. We may mention you as a client or describe results in anonymized form. We will only name you or show identifiable results with your written permission.
17. Your warranties and indemnity
You confirm that you have the authority to engage us and to grant the access you provide, and that materials you supply do not infringe anyone's rights or break any law. You agree to indemnify Copley Digitals against claims, losses, and reasonable legal costs arising from materials you supplied, your products or services, or your breach of these Terms.
18. Limitation of liability
To the fullest extent allowed by law, Copley Digitals is not liable for indirect, incidental, special, or consequential damages, including lost profits, lost revenue, or loss of rankings or data. Our total liability for any claim relating to our services is limited to the fees you paid us for the specific service giving rise to the claim during the three months before the claim arose.
19. Termination
- By you. You may end an engagement at any time with written notice, subject to Section 9. Fees for work completed up to the end date remain due.
- By us. We may end an engagement with written notice if you breach these Terms, do not pay an invoice when due, request tactics that break search engine guidelines or the law, or behave abusively toward our team. Fees for work completed remain due, and we will refund any prepaid amount for work not performed.
20. Events outside our control
Neither party is responsible for delays or failures caused by events beyond its reasonable control, such as natural disasters, internet or hosting outages, or actions of government or third-party platforms, provided it notifies the other party and resumes performance as soon as reasonably possible.
21. Governing law and dispute resolution
These Terms are governed by the laws of the State of Oregon and applicable U.S. federal law. Before starting any legal proceeding, both parties agree to try in good faith to resolve the dispute by written notice and discussion for at least 30 days. If it is not resolved, the dispute will be brought in the state or federal courts located in Multnomah County, Oregon, and both parties consent to their jurisdiction. This section does not limit your rights with your card issuer described in Section 8.
22. Changes to these Terms
We may update these Terms from time to time. The version number and date at the top of this page show the current version. Changes apply to new engagements and invoices from the date they are posted; a signed authorization remains governed by the version shown on it. For active retainers, we will notify you of significant changes by email at least 30 days before they apply.
23. General
- Entire agreement. These Terms, together with any signed proposal, invoice, and credit card authorization, are the entire agreement between us for the services concerned.
- Severability. If any part of these Terms is found unenforceable, the rest remains in effect.
- Independent contractor. We act as an independent contractor. Nothing in these Terms creates an employment, partnership, or agency relationship.
- Assignment. You may not transfer these Terms without our written consent. We may use qualified contractors to help deliver services and remain responsible for their work.
- Notices. Notices may be sent by email to the addresses on file and are effective when sent.
